ORDERING INFORMATION

How to Place an Order

Our products and services are designed for use by agencies, companies and professionals involved in public safety, healthcare and educational activities and certain other specific industry areas.  Our products and services are not generally available to the general public.

Orders may be placed via phone, fax, email, regular mail or through our on-line store. You do not have to set-up an account with us in order to place an order, but we will need the following information when ordering:

Full name of organization/agency/individual/company ordering, as well as the name and contact information for the person placing the order (phone, email)

Full address details for shipping purposes

Full address for invoicing purposes

Method of payment to be made.

Details as to the products and services and quantity of each required as well as pricing

If for shipment to the U.S., the Federal Tax ID Number

Any other specific information you may need us to reference, such as a purchase order number or contract number, or quote details, or attention information

Details regarding any specific tax exempt status

Written orders or order confirmation by fax, email or regular mail may be required prior to any product shipping, at our sole discretion

Pricing Policy

All prices shown on our website and in our published literature, quotations or advertising will be in either Canadian or U.S. dollars, as specified.  Although we strive to ensure that the pricing found on our website and published elsewhere are up to date at all times, we reserve the right to change prices at any time, without notice.  If there is a discrepancy between our published price or web store price and the price indicated at the time of order, either by us or by the person placing the order, we will do our best to notify you of any price differences in advance of any shipment.  The Purchaser will then have the option to cancel or alter their order.

One copy of the invoice will be sent attached to the outside of the order along with the packing list and other documents as required.  An additional copy will be sent via regular mail or electronically when the invoicing address differs from the shipping address.

The Company's (Invitro Sciences Inc.) prices do not include sales, use, value-added excise or similar taxes. Consequently, in addition to the price specified herein, the amount of any present or future sales, use, value-added, excise or other similar tax, applicable to the sale or use of the product sold here under shall be paid by the Purchaser, or in lieu thereof the Purchaser shall provide the Company with a tax-exemption certificate acceptable to the taxing authorities.  Since we are based in Canada, we generally do not collect or charge for any taxes on behalf of taxing authorities outside of Canada.  Any duty or excise taxes applicable for shipments to destinations outside of Canada are the responsibility of the Purchaser unless stated otherwise.

Shipping & Handling

All orders are packaged and shipped to comply with Canadian regulations and to meet carrier requirements.  We generally ship orders via FedEx® or Canada Post, F.O.B. our facility, with related shipping and handling charges pre-paid and invoiced to the Purchaser.

Company will ship on customer’s shipping account when requested; however, we cannot guarantee delivery when using the customer’s shipping account. There may be delays in shipping the orders due to shipping on the customer’s shipping account. Company is not liable for delays or the inability to ship due to the customer’s shipping account being invalid.  A processing and handling charge of $10.00 in the appropriate currency will apply to all orders valued under $250.00 in either Canadian or U.S. dollars, when shipping on customer’s shipping account.

Any additional charges incurred by the Company, such as charges for shipping to a home address, or for the shipping of hazardous goods, that are charged to us by any carrier, are the responsibility of the Purchaser, and will be invoiced to the Purchaser.

We strive to ship orders complete whenever possible.  However, given the range of products offered from multiple suppliers, we cannot guaranty that all products ordered will be available to ship at the same time.  We reserve the right to ship partial orders unless stated otherwise at the time of the original order placement.

Payments

All payments must be made in the name of Invitro Sciences Inc. as indicated on the invoice.

For Canadian and U.S. based Purchasers, invoices must be paid in full within 30 days of the invoice date unless stated otherwise.  For Purchasers based in other countries, payment in full is required in advance either at the time of order, or just prior to shipment, as specified.  Late payments are subject to a 1.5% monthly finance charge calculated daily. This will be a separate and accumulating charge until the invoice is paid in full.

For U.S. based customers, you can pay via direct deposit or ACH into our U.S. bank account.  Contact us for details, and no fees apply.

Depending on the Purchaser and the products and/or services being ordered, partial payment or full payment, either in advance or prior to shipment,  or different payment terms may apply at our sole discretion, and will be provided to the Purchaser prior to accepting and processing their purchase order.

Payment by Canadian and U.S. Purchasers may be made via check, money order, bank draft, direct deposit, wire transfer, ACH or credit card, subject to the following additional terms and conditions.  Purchasers from outside of Canada and the U.S. may be required to pay via wire transfer only.

If paid by check, it must be in the currency of the invoice, and if the check is rejected due to insufficient funds, then the Purchaser must make payment immediately via certified check, money order, bank draft or other payment method, subject to an additional $50.00 fee in the appropriate currency.

If paid by direct deposit, the Purchaser must send a confirmation of such payment indicating the payment date, specific invoices and amounts paid, otherwise a $20.00 fee will be charged for each direct deposit.

If paying via Wire Transfer, a wire transfer fee of $35.00 in the appropriate currency will apply for all payments under $5,000.00.  Purchaser must send a confirmation of such payment indicating the specific invoices and amounts paid, otherwise an additional $20.00 fee in the appropriate currency will be charged for each wire transfer.

If paying via credit card, we only accept Visa® and MasterCard® payments.  Charges to the credit card will show Invitro Sciences Inc. as the merchant/vendor.  An additional charge of $35.00 in the appropriate currency will apply to all approved credit card transactions later declined by the Purchaser.

A credit card processing fee of 2.4% will apply for all payments made in Canadian funds over $4,999.99 Canadian, and a credit card processing fee of 4% will apply for all payments made in U.S. funds over $4.999.99 U.S.  A copy of the credit card receipt will be sent with the invoice at the time of shipment, or separately via mail with a copy of the invoice, or via electronic means if requested by the Purchaser.

 

 

Product Returns

All sales are considered final.  Products purchased may not be returned without pre-authorization, and product returns must be accompanied by a pre-authorization form which can be obtained upon request from us.  All returns must be made within 30 days of receipt.  The cost of returning products are generally the responsibility of the Purchaser.

All products returned must be free of damage or contamination.  Products returned may be subject to a restocking fee of 20% of the invoice value.

Product Warranty

Invitro Sciences Inc. warrants to the original purchaser (“Customer”) that this product will be substantially free from manufacturer’s material defects in workmanship and materials, under normal use and service, for a period of 90 days from the date of shipment, unless otherwise specified.

Invitro Sciences Inc.’s sole obligation under this express warranty shall be, at Invitro Sciences Inc’s option and expense, to repair the defective product or part or to deliver to Customer an equivalent product or part to replace the defective item.  All products that are replaced will become the property of Invitro Sciences Inc. Replacement products or parts may be new or reconditioned. Invitro Sciences Inc. warrants any replacement or repaired product or part for ninety (90) days from shipment, or the remainder of the initial warranty period, whichever is longer.

Customer must contact Invitro Sciences Inc. within the applicable warranty period to obtain warranty service authorization.  The Invitro Sciences Inc. product must be packaged appropriately for safe shipment and sent prepaid. It is recommended that returned products be insured or sent by a method that provides for tracking of the package. Customer is responsible for loss or damage while the package is in transit until the returned item is received by Invitro Sciences Inc.. Invitro Sciences Inc. will retain risk of loss or damage until the item is delivered to Customer.

Other Terms & Conditions

In no event, whether as a result of breach of contract, warranty or tort (including negligence), shall the Company or its suppliers be liable for any consequential or incidental damages, including but not limited to loss of profit or revenues, loss of use of the products or any associated equipment, damage to associated equipment, cost of capital, cost of substitute products, facilities, service or replacement power, downtime costs, or claims of Purchaser's customers, for such damages.

If the Company, without separate compensation therefore, furnishes Purchaser with advice or other assistance concerning any product supplied here under or any system or equipment in which any such product may be installed which is not required pursuant to this agreement, the furnishing of such advice or assistance will not subject the Company to any liability, whether in contract, warranty, tort (including negligence) or otherwise.

Company may modify the specification of products offered by the Company, provided the modifications do not adversely affect the performance of said products.  All images of products are representations only to provide the Purchaser with a better understanding of the product being described, and may not be current or a true and accurate representation of the product being offered.

Invitro Sciences Inc. is located in the province of Ontario, Canada and is subject to the laws of the province of Ontario and the country of Canada. All orders and transactions with Invitro Sciences Inc. will be governed as such by the province of Ontario. Any disputes or negotiations will be governed by the province of Ontario.
